VP, Internal Audit - Cass Information Systems Inc.

The VP, Internal Audit is responsible for creating and implementing a risk-based audit plan to measure, assess, report on, and make recommendations for meeting and exceeding the Company’s objectives, industry standards, and regulatory guidelines. This position is responsible for overseeing the evaluation of and reporting on the effectiveness of the Company’s risk management, control, and governance processes and setting the strategic focus of the audit program. In addition, this individual ensures the policies and procedures of the Company are in compliance with appropriate laws and regulations governing public companies, banks, and bank holding companies.

PRINCIPAL RESPONSIBILITIES AND DUTIES:

• Leads discussions with senior management, the Audit and Risk Committee, and external auditors regarding internal audit plans, testing activities and disposition of audit findings.
• Reports audit findings and provides objective guidance to the Audit and Risk Committee of the Board of Directors and executive leadership on key controls for compliance and ethics, as well as consults on the development of policies, procedures, and systems as appropriate.
• Executes an internal control risk assessment of the Company and its subsidiaries.
• Maintains adequate documentation of the internal control structure.
• Documents internal control test results and coordinates corrective action plans.
• Oversees and participates in the tests of design and operating effectiveness of the internal control structure, as mandated by Sarbanes-Oxley, Section 404.
• Prepares management’s report on internal control over financial reporting in conjunction with accounting leadership.
• Develops a comprehensive internal audit plan including appropriate internal audit scope and objectives, and audits of information technology and regulatory compliance.
• Oversees the design and administration of internal audit policies and procedures, including the internal audit program.
• Selects and manages outsourced providers of internal audit services.
• Coordinates the completion of audit procedures with external parties and internal staff.
• Maintains ongoing relationships with all levels of management and employees in order to promote controlled processes, systems, and financial reporting and be a strategic advisor for company initiatives.
• Provides leadership and guidance to internal audit staff according to Cass policies and procedures.
• Provides knowledgeable and objective counsel to executive management and the Audit Committee on key controls for operational, compliance and technology areas, ethics, as well as consults on the development of policies, procedures, and systems as appropriate.
• Maintains a follow up system for audit findings and reports the current status of such findings to the Audit and Risk Committee of the Board of Directors.
• Completes ad hoc projects for management and conducts operational audits, as necessary.
• Serves as an active member of the company’s Leadership Council.
• Other duties as needed or assigned.

 SKILLS AND ABILITIES REQUIRED:

• Demonstrated track record in delivering internal audit services in the banking industry and/or within a publicly traded company.
• Executive presence and excellent communication skills to present information at all levels of the organization including the Board of Directors.
• Strong knowledge of internal audit practices; experience with Sarbanes-Oxley Act requirements, Generally Accepted Accounting Principles (GAAP), Securities and Exchange Commission (SEC) regulations, Public Company Accounting Oversight Board (PCAOB) standards, and Service Organizational Controls (SOC) requirements.
• High level of analytical and critical thinking skills.
• Knowledge of accounting principles and practices.
• Ability to manage several tasks and projects simultaneously.
• Demonstrated proficiency and understanding of the principles of enterprise risk management.
• Proficient in Microsoft Office Suite, with advanced knowledge in Excel.

MINIMUM LEVEL OF PREPARATION AND TRAINING NORMALLY REQUIRED: 

• Bachelor of Accounting Degree and CPA required; MBA and/or public accounting experience preferred.
• 5-7 years of experience in practices of internal auditing and interpreting policies and procedures and applicable law.
• Certified Internal Auditor (CIA) certification preferred.
• Previous leadership experience preferred.
