Position Summary:
We are seeking an experienced and motivated Tax Attorney specializing in nonprofit organizations to join our dynamic team. The ideal candidate will have a strong background in tax law, specifically related to charitable organizations, foundations, and other tax-exempt entities. This role involves providing comprehensive legal advice, ensuring compliance with federal and state tax laws, and representing clients in tax disputes and audits.
Key Responsibilities:
Provide expert legal advice on tax-related matters to nonprofit organizations, including 501(c)(3) compliance, unrelated business income tax (UBIT), charitable contributions, and donor-advised funds.
Assist clients in the formation and structuring of nonprofit entities, ensuring compliance with IRS regulations and state requirements.
Prepare and review applications for tax-exempt status (IRS Form 1023, 1023-EZ) and handle any related correspondence with the IRS.
Conduct audits and internal reviews of clients’ tax-exempt status and other compliance issues.
Represent nonprofit clients in IRS examinations, audits, and other disputes.
Advise on governance issues, including board responsibilities, conflicts of interest, and fiduciary duties.
Monitor and interpret changes in tax laws and regulations affecting nonprofit organizations and provide proactive advice to clients.
Develop and deliver training sessions and seminars for clients and internal teams on relevant tax issues and regulatory compliance.
Collaborate with other attorneys, accountants, and financial advisors to provide integrated services to clients.
Maintain up-to-date knowledge of best practices in nonprofit tax law and share insights with the team and clients.
Qualifications:
Juris Doctor (JD) degree from an accredited law school.
Active bar membership in good standing.
Minimum of [X] years of experience in tax law, with a significant focus on nonprofit organizations.
In-depth knowledge of federal and state tax laws governing tax-exempt entities.
Experience with IRS forms and procedures related to tax-exempt status and compliance.
Strong analytical and problem-solving skills.
Excellent written and verbal communication skills.
Ability to work independently and as part of a team.
High ethical standards and a commitment to professional integrity.
