Job Summary:
Super Micro Computer, Inc. is looking for a Sr. Legal Counsel to play a key role in our dynamic and collaborative legal department. This position advises on legal issues and drafts contracts related to commercial transactions, procurement and regulatory compliance. Qualified candidates will possess strong knowledge and skills in providing commercial transactions legal support and interface directly with various internal business units with primary goals to close deals in a timely manner. The successful candidate will have experience in supply chain, operations, sales of goods and services (hardware, software, equipment, and IT infrastructure), procurement, logistics, vendor managed inventory, manufacturing, marketing, privacy, engineering and software development, as well as technology cores and software licensing. He/she will have experience working across functional groups, as well as developing forms, tools and implementing significant process improvements and training.
Essential Duties and Responsibilities:
• Review, draft and negotiate a large variety of agreements, such as sales contracts, OEM/ODM agreements, distribution agreements, licensing agreements, service agreements, vendor agreements, SOWs, and NDAs on a daily basis
• Work closely with the organization to develop proposals, oversee preparation of contracts and monitor progress. Ensure compliance with customer contracts
• Counsel internal clients on the implications of various terms and conditions of agreements and ensure that all contracts comply with the company's internal legal and business standard operating procedures.
• Familiarization with industry-related compliance and regulatory issues
• Help ensure that all organization activities are carried out in compliance with local, state, and federal regulations and laws governing business operations
• Analyze issues and use sound judgment: Gather and analyze information needed to understand problems; base decisions on sound logic and rationale; advance problems toward resolution when encountering ambiguity or uncertainty; choose the best alternative based on consideration of pros, cons, tradeoffs, timing and available resources; make timely decisions on problems and issues requiring immediate attention; make sound decisions on complex functional issues and problems
Qualifications:
• Member of at least one State Bar (California Bar preferred)
• JD Degree from an accredited law school preferred
• 8+ years relevant experience including in-house experience with a public company, high tech industry strongly preferred
• Experience in hardware product/component purchase agreements, distribution agreement, OEM/ODM agreements, technology agreements, software licensing agreements, SOWs, NDAs and contract negotiation and review
• A self-starter with strong leadership, negotiation, consulting, analytical and problem-solving abilities
• Exceptional organizational skills with the ability to handle multiple, high priority projects with a keen attention to detail
Salary Range
$175,000 - $198,000
The salary offered will depend on several factors, including your location, level, education, training, specific skills, years of experience, and comparison to other employees already in this role. In addition to a comprehensive benefits package, candidates may be eligible for other forms of compensation, such as participation in bonus and equity award programs.
