We’re seeking a future team member for the role of Senior Vice Present, Counsel – Governance and Executive Compensation to join our Legal team. This role is located in Pittsburgh, PA OR NYC- 3 days in-office hybrid.
The Corporate Secretarial and Disclosure Group in the Legal Department is seeking an outstanding attorney to join its public company governance and disclosure team. The role will have particular focus on executive compensation and related governance and securities matters. The attorney will work closely with the rest of the Corporate Secretarial and Disclosure team, as well as BNY’s People Team, Investor Relations, and other groups within the company and the Legal Department to advise Senior Management and the Board on key governance and executive compensation matters. The position will report to the team’s Senior Managing Counsel in the Pittsburgh office.
In this role, you’ll make an impact in the following ways:
- Support the Corporate Secretary on all aspects of executive compensation governance, including the processes related to the Human Resources and Compensation Committee of the Board of Directors
- Assist with preparation for the meetings of the Board of Directors, including preparation of meeting agendas and materials, as well as drafting board minutes
- Assist with the preparation of BNY’s proxy statement and for the annual meeting,
- Provide support with investor outreach and engagement related to executive compensation and other corporate governance practices throughout the course of the year
- Advise on executive compensation matters, including related disclosures for BNY’s Exchange Act filings and assessing and advising on BNY’s related policies and practices
- Manage Section 16 compliance program, including Form 3, 4 and 5 filings
- Counsel on governance, corporate and regulatory matters for BNY’s subsidiaries and their boards and committees
- Stay current on executive compensation and corporate governance trends and best practices, NYSE developments, and translate into clear guidance for Senior Management and key partners across the enterprise
- Assist with NYSE listing and governance requirements
To be successful in this role, we’re seeking the following:
- Juris Doctor degree and in good standing to practice law in the US (NY or PA bar preferred)
- 3-7+ years with a top tier law firm; in-house experience preferred, but not required
- Experience advising public companies on corporate, securities, executive compensation and equity compensation matters
- Knowledge of applicable laws, including SEC, Internal Revenue Code, and ERISA rules, regulations and guidance; experience with bank regulation a plus
- Excellent written and oral communication, organizational and project management skills
- Demonstrated ability to independently managing workload, priorities, and deadlines in a dynamic and fast-paced environment
- Executive presence, acute attention to detail and good judgment in consulting with colleagues and clients

BNY assesses market data to ensure a competitive compensation package for our employees. The base salary for this position is expected to be between $113,000 and $190,000 per year at the commencement of employment. However, base salary if hired will be determined on an individualized basis, including as to experience and market location, and is only part of the BNY total compensation package, which, depending on the position, may also include commission earnings, discretionary bonuses, short and long-term incentive packages, and Company-sponsored benefit programs.
This position is at-will and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation) at any time, including for reasons related to individual performance, change in geographic location, Company or individual department/team performance, and market factors.
