Investment Management Paralegal - Foley & Lardner LLP

Foley & Lardner LLP is seeking an experienced Paralegal to support attorneys in the Fund Formation & Investment Management practice group. This position will involve significant contact with lawyers and paralegals at the firm and requires strong interpersonal and communication skills.  The successful candidate must be a demonstrated self-starter who is both highly organized and a team player.

ESSENTIAL FUNCTIONS

• Support attorneys with private investment fund formation and related transactions, including but not limited to: the formation of funds and their affiliated entities, including limited partnership and limited liability company entities, drafting and filing applicable formation certificates, tax identification forms and elections and applicable initial governing agreements; subscription agreement review, tracking and following up with submitting investors including supporting AML/KYC documentation and related tax forms; analyzing federal and state securities laws exemptions from registration and exemptions filings and preparing federal Form D and applicable state “blue sky” securities filings (including related filings such as Form ID); preparing and distributing closing sets to investors, attorneys and clients.
• Support transfer process for private investment fund sponsors from inception to closing, including but not limited to: facilitating transfer intake process; initial drafting and distribution of transfer materials; review of completed transfer materials; and managing closing of transfer including the creation and presentment of invoices and post-closing client recordkeeping.
• Manage annual and periodic filings for investment advisers to private investment funds, including but not limited to Form ADV, Form PF and Section 13D and 13G filings.
• Support private fund investment transactions such as primary and secondary investments, including but not limited to: organizing transaction documents for attorney review; completion and submission of investor onboarding materials such as subscription agreement and AML/KYC documentation and related tax forms; coordinating the full execution of legal agreements; and managing closing documents for client recordkeeping and practice group knowledge management efforts.
• Identify common problems encountered in work-flows and proactively proposing solutions; form appropriate proposals for corrective actions after consideration and deliberations.
• Assist in organizing relevant documents related to private investment fund formations and private fund investments; provides ongoing corporate maintenance for private investment fund clients of the firm.
• Demonstrate in-depth knowledge of tasks and projects in primary area of expertise.  Work proactively to stay up-to-date on developments in practice area.  In unique situations, can develop a logical course of action.
• Willing and able to train other paralegals and assistants on processes implemented by the candidate and attorneys on various client teams, including process improvements generally applicable to clients of the practice group.

ESSENTIAL CAPABILITIES

• Have deep experience with private investment funds, servicing private fund managers and their affiliates and institutional investors.

• High School diploma or GED required; Bachelor's degree and/or paralegal certificate strongly preferred
• Minimum of four (4) years of corporate paralegal or comparable work experience required
