Job Description:
Performs varied legal, title, abstract, and other necessary research to assist attorneys and supervisors with the performance of corporate and/or transactional legal work. Assists in the preparation and review of complex legal, loan, and collateral documentation, analyses and opinions. May provide support for various corporate legal functions, as needed.
Essential Functions:1. Collaborates with the Responsible Attorney to draft, prepare and review high quality complex legal, loan, collateral and ancillary documents, correspondence and opinions. Assists in drafting, updating and maintenance of standard loan documentation templates and mortgage templates. Prepares online banking forms for new internally and externally documented customer. Acts as primary contact to deal team and responds to customers' requests, provides status updates and clarifies details of the transaction. 2. Perfects collateral according to state statutes and maintains perfection of collateral to include extensions, amendments, and continuations as needed. 3. Orders UCC lien searches for verification and determination of lien position. 4. Reviews, analyzes and organizes title commitments, abstracts, policies submitted to CoBank, exception documents and other due diligence items, including but not limited to surveys. Recommends title objections and title endorsements, and communicates objections and recommendations to the title company, collateral associates and transactions teams; manages resolution of title and other due diligence issues. 5. Obtains and reviews organizational documents. Completes signatory authority reviews, prepares borrower and guarantor resolutions. Performs follow up, tracking and maintenance of updated organizational documents. 6. Assists in performing complex legal audits and reviews existing loan files to ensure compliance with quality controls. 7. Assists in document preparation for discovery requests and tracks legal proceedings. 8. Assists in research of mortgage law to keep mortgage review binders current. 9. Drafts procedures, job aids and guidance. 10. Performs legal research, including but not limited to cite checking. Summarizes research results and recommends appropriate courses of action. 11. Assists in performance of general corporate support functions as required and is able to complete increasingly complex assignments and to work independently on such assignments. 12. Inputs and maintains tracking of collateral and insurance. 13. Performs quality review of legal documents prepared by other paralegals for basic transactions, as needed. Identifies errors, provides feedback and guidance, as appropriate. 14. Analyzes credit report recommendations and generates transaction checklists to include appropriate tasks for all deal team members. Updates and manages the transaction checklist and all internal systems timely and accurately throughout the process. Ensures that all conditions have been met. 15. Takes ownership of pipeline/deals/transactions and assigned banking centers, as appropriate. 16. Maintains adherence to bank policies, procedures and controls to ensure consistency and quality. 17. Facilitates and leads deal team meetings for transactions in assigned portfolio. 18. Anticipates and takes proactive action to address potential issues, manage risks and escalates appropriately and timely/early in the process. 19. Participate in or leads project work. 20. Serves as a resource and subject matter expert for peers and internal customers on all transaction types.
Education:- High school diploma or GED required
5 years paralegal experience, preferably in a secured lending practice or law firm required
1. Bachelor’s degree and paralegal certification preferred.
2. Understanding of loan and collateral transactions and ability to audit a transaction or customer.
3. Intermediate knowledge of legal, commercial lending, and lease terminology, title insurance, real estate law, the Uniform Commercial Code and collateral documentation, with intermediate knowledge of some of these areas preferred.
4. Demonstrated skills in Microsoft Office applications (Outlook, Word, SharePoint, and Excel).
5. Ability to prioritize and schedule work and projects with minimal supervision. Flexible to work with multiple teams and balance ongoing projects and work.
6. Ability to work independently with minimal guidance, as well as collaboratively in a team environment. Acts as resource to others on the team, answers questions and provides training as needed.

About CoBank:The typical base pay range for this role is between $80,300-$91,840 Compensation may vary based on individual job-related knowledge, skills, expertise, and experience. This position is eligible for a discretionary annual incentive program driven by organization and individual performance.
