Based in Orlando or Miami, Florida and reporting to the Vice-President of Legal Affairs in Montréal, your time will be devoted to commercial law, whether it be reviewing calls for tenders or negotiating major framework agreements, professional services contracts, construction and license agreements for the System Integration or Live Productions Divisions in the United States. The Senior Legal Counsel will also provide support to the legal team in Montréal and to the HR, Finance, Marketing, Procurement and IT departments in their respective initiatives.
As Senior Legal Counsel, your challenges will be diversified, and you will effectively manage the various requests and prioritize a wide range of files on a daily basis. You will offer constructive legal advice with a practical and proactive approach to managing legal risks, while supporting the growth and development of the Company's business in the United States.
Your day will look like this:
- Draft, review and negotiate a variety of commercial agreements, including, construction agreements, subcontractor agreements, equipment rental agreements, services agreements, consulting agreements, non-disclosure agreements, procurement agreements, licenses, and leases;
- Review the documentation related to call for tenders (public and private), advise key stakeholders on all legal risks to support the internal go-no-go determination, and prepare an exceptions list for submission if required;
- Act as an expert advisor to the different business units of the Company and its subsidiaries in the United States on questions related to commercial, corporate, construction, real estate, labor, privacy, marketing, intellectual property, and information technology laws;
- Provide support to the legal team in Montreal by assisting with larger global corporate initiatives as they arise and overflow files for the Canadian and UK markets as needed;
- Analyze and manage issues related to the collection, use, transfer and protection of personal information;
- Ensure legislative monitoring of new laws and regulations applicable to the activities of the Company and its subsidiaries in the United States;
- Manage complex issues with different stakeholders;
- Participate in the development and improvement of contract templates, training and corporate policies which are in line with current business needs and anticipated growth;
- Establish strategies aimed at avoiding or reducing the risk of potential litigation or the liability of the Company and its subsidiaries in the United States;
- Assist in dispute resolution processes by completing internal due diligence, preparing demand letters, and managing and coordinating the various files entrusted to external legal firms, including any litigation in the United States;
- Assist with and oversee paralegal staff in the management of various corporate registrations, including contractor licenses, in the U.S.; and
- Conduct legal research as needed on complex legal topics to minimize external counsel expenditures.
Your profile:
- Current Member of the Florida Bar Association
- A minimum of 7 years of significant experience in construction and commercial law.
- Experience within an established law firm or as an in-house counsel in a large size company preferred.
- Ability to work under pressure with a diverse clientele.
- Ability to effectively manage priorities and a large volume of files at the same time.
- Thoroughness, rigor and a great contract drafting skills (essential);
- Exceptional attention to detail;
- Strong communication and negotiation skills;
- Analytical mind, focused on solutions, customer service and collaboration;
- Recognized for having good judgment and practical business acumen;
- Developed autonomy and natural team spirit; and
- Initiative, proactive attitude and sense of leadership.
