This position will support the Tax and Accounting (“TAA”) Division’s commercial activities in North America, with a primary focus on Canada Software (Professional) and TAA North America (Research & Learning) business line segments.
The position will report to the Assistant General Counsel for TAA North America.BASIC FUNCTIONS AND PRINCIPAL RESPONSIBILITIESThe Senior Legal Counsel will work closely with the senior management team of the TAA Canada (Professional) and Research & Learning business units on general commercial contracts (e.g., SaaS and content licensing contracts, customer services contracts and vendor contracts), corporate and contractual matters and M&A transactions, as well as advising on intellectual property issues, product development legal issues, regulatory compliance and customer/vendor matters.Specific accountabilities and responsibilities are expected to include the following: Providing comprehensive legal counseling regarding a broad spectrum of commercial, corporate, technology, intellectual property, cybersecurity, privacy and regulatory laws and matters impacting TAA North America and specifically TAA NA’s Canada Software and content businesses. Structuring, drafting, negotiating, interpreting, managing, and enforcing all types of technology and other commercial agreements, including: customer agreements/Ts & Cs (such as cloud, on-premises, hosting, subscription and professional services agreements, including software-as-a-service (SAAS) agreements, infrastructure-as-a-service (IaaS) and end-user-license agreements (EULAs)) re-seller, distribution, dealer, referral and agency agreements vendor, sourcing and consulting agreements partnership, joint venture and strategic alliance agreements (such as application programming interface (API) agreements with third parties) other commercial agreements (such as confidentiality agreements, Data Privacy Agreements (DPAs) and IP license agreements) Counseling on regulatory and compliance matters impacting the business, including with respect to tax-time financial products. Working closely with the business on contractual and regulatory exposure and risks relating to development of new customer offerings or services and related customer agreement terms, promotional and marketing activities, data protection and cybersecurity risks across different product/service offerings. Advising the business on the protection, management and monetization of intellectual property rights and identifying and implementing such intellectual property protections and opportunities through oversight and improvement of and training regarding the use and protection of intellectual property.DevelopingastrongrapportandworkingrelationshipwiththemanagementteamoftheTAANorth America business to help drive the delivery of effective and high-quality legal services which are appropriately linked to the relevant business needs of TAA North America, while at the same time helping drive greater consistency of approach and standards across Wolters Kluwer businesses. Developing an in-depth knowledge and understanding of TAA North America, its people, organization, markets, products, customers, competitors and regulatory environment, in order to identify trends and provide high level legal/commercial advice to the businesses. Effectively manage outside counsel in a cost-effective manner, whether transactional, litigation or complianceinnature,andappropriatelyworkwithotherattorneyswithintheWoltersKluwerLaw Department who may also be involved in supporting certain matters and managing outside counsel (e.g., litigation, HR matters, certain IT/IP areas).Ability to both effectively manage a legal professional supporting the TAA NA content business and/or performing said tasks directly.QUALIFICATIONSEducation:Bachelor’sdegreeandlawdegreerequired,J.D.orL.L.BRequired Experience:7-10+ years of increased responsibility in handling sophisticated corporate/commercial legal matters, including work experience with both a multi-national law firm and an established corporate law department.Prior supervisory experience and/or a willingness to develop supervisory/management experience.PreferredExperience,KnowledgeandAbilities: Experience with software and digital content products and data privacy/protection are strongly preferred. Stellar academic and work credentials are essential, and outstanding communication (written and verbal), interpersonal, and leadership skills are critical to success. The ideal candidate will have a proven track record of working well with and influencing members of the senior management teams of entrepreneurial organizations, and will possess the intellect, confidence, maturity, team orientation and positive sense of humor to work with talented, dedicated, demanding client groups.
