POSITION DESCRIPTION:
Hanwha Q CELLS America Inc. is looking for a Senior Counsel. You will join a collegial team of 13 legal professionals and report to the Assistant General Counsel. The Senior Counsel will provide support with commercial and industrial (C&I), utility-scale solar project development, distributed energy projects, energy solutions sales (including energy management software, residential and C&I modules and energy storage systems and grid services), solar asset management, operations and maintenance, solar project engineering, procurement and construction (EPC), M&A, financing, real estate, regulatory and dispute resolution/litigation. Special consideration will be given to candidates with expertise in real estate matters. This position reports to the Assistant General Counsel and the location will be at the Irvine, CA office as Hybrid but Remote may be considered for exceptional candidates.

This position will be based out of our Irvine office, with an in-office schedule that is set at the direct manager’s discretion in accordance with the company policies and procedures. Remote options could be considered for exceptional cases.
RESPONSIBILITIES
- Negotiate various real estate-related agreements, including but not limited to option agreements, lease agreements and easements, as well as assist in title and survey-related matters to support the development of solar energy and battery storage projects in various states;
- Lead the real estate portion of the due diligence process for various project acquisitions and sales transactions and in preparation for project financings.
- Assist the Assistant General Counsel in negotiating, drafting and reviewing various power purchase, construction, C&I and utilities-scale project development, M&A, financing, and real estate agreements and related documents for solar energy and battery storage projects, including contracts with customers, project owners, suppliers, subcontractors and professional service providers, transportation, logistics and storage agreements, operations and maintenance agreements and other transaction documentation. Collaborate with cross-functional teams to provide strategic business-oriented legal advice.
- Supervise and manage outside counsel in various matters on an as-needed basis.
- Create legal and commercial forms and processes and educate the business on important legal and commercial matters.
REQUIRED QUALIFICATIONS
- 5+ years experience
- Top law firm training preferred
- In-house experience, preferably with a broad range of responsibilities
- Strong background in real estate and/or engineering, procurement and construction (EPC) matters preferred
- Experience working for a renewable project development business preferred
- JD from a top law school preferred
- Membership in at least one state bar
