We are seeking a highly motivated and experienced Senior Corporate Paralegal (or Junior Transactional Attorney) to join our dynamic legal team. This position is an excellent opportunity for a seasoned professional to support our corporate legal department in a variety of areas, including corporate governance, entity management, contract lifecycle management (CLM), and non-disclosure agreements (NDAs). The successful candidate will have Corporate Law or In-House Experience at a Large Asset Manager!
Responsibilities:
As a Senior Corporate Paralegal, you will be responsible for:
1. Assisting with all aspects of corporate governance, including preparing board materials, maintaining corporate records, and ensuring compliance with corporate policies and regulations.
2. Helping manage the company's entity management system, including maintaining corporate entity records, preparing necessary filings, and coordinating with outside counsel as needed.
3. Contract lifecycle management, including drafting, reviewing, and negotiating a variety of contracts and agreements.
4. Negotiating NDAs to protect the company's confidential information.
5. Conducting legal research and analysis on a variety of corporate and financial issues.
6. Collaborating with various internal teams.
Qualifications:
To be considered for the Senior Corporate Paralegal position, the candidate must possess the following:
1. A bachelor's degree and paralegal certificate from an ABA-approved program is strongly preferred.
2. 3+ years of experience as a corporate paralegal, ideally at a large asset manager.
3. Extensive knowledge of corporate governance, entity management, CLM, and NDAs.
4. Strong contract drafting and negotiation skills, with a keen attention to detail.
5. Excellent organizational skills, with the ability to manage multiple projects and deadlines simultaneously.
6. Strong research and analytical skills, with the ability to interpret complex legal documents and regulations.
7. Excellent communication skills, both written and verbal, with the ability to effectively communicate complex legal concepts to non-legal personnel.
8. Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and experience with legal research databases and entity management software.
9. Ability to work independently, but also collaboratively as part of a team.
10. High level of integrity and professionalism, with a commitment to maintaining the confidentiality of sensitive information.
