About our client: Our client is a boutique private practice law firm that provides efficient and cost effective business strategies and proactive solutions to sophisticated individuals and small to medium sized businesses. In particular, they assist select clients with their investment and business needs including corporate law and governance, business transactions, financial transactions, mergers & acquisitions, entity formations, partnership agreements, contracts, real estate, commercial law, and nonprofits.
They are a 30ish person law firm looking to grow. Their team culture is made up of ex Perkins Coie, WilmerHale, BCLP, and Dorsey & Whitney Attorneys that wanted different work/life balances. They're a family-oriented firm that take on highly profitable small to mid size deals to have a balanced life outside of their practice.
About the position: We are actively looking for a Corporate Attorney focused on Venture Capital Financing. The practice focuses on representing innovative companies and their founders throughout their lifecycle (business formation, financing transactions, and mergers and acquisitions) as well as the funds that invest in them.
What are the core requirements?
- Strong experience drafting and negotiating key documents such as term sheets, shareholder agreements, and stock purchase agreements. These documents outline the terms and conditions of the investment, rights and obligations of the parties, and other critical details.
- Strong experience advising on deal structure and providing advice on the structure of deals to maximize tax efficiencies, meet financial goals, and comply with legal requirements. This might involve complex structures with multiple rounds of financing or international components.
- Strong experience acting as advisors to venture capital firms, offering strategic advice on portfolio management, exit strategies (such as IPOs or acquisitions), and other business decisions.
- Conducting due diligence reviews.
- Advising clients on general corporate/entity matters and business matters.

- Ability to learn new systems quickly, use online technology including Microsoft Office 365, Clio, Netdocuments, video conferencing, online project management tools and more.
- Commercial real estate experience is a plus, but not required.
- Securities law knowledge is a plus, but not required.
