Senior Associate Attorney – Corporate Securities
Location: Boston, NYC, Philadelphia, or Washington, DC (Hybrid – In-office Wednesdays and one other day per week)

Position Overview
The firm is seeking an experienced Senior Associate Attorney to join its expanding securities practice. This is a fantastic opportunity to engage in sophisticated corporate securities work within a dynamic and entrepreneurial team.
Key Responsibilities
- Advise public companies on compliance with the Securities Act of 1933 and Securities Exchange Act of 1934
- Manage public and private securities offerings
- Navigate national securities exchange listing requirements
- Handle regulatory filings, including Forms 10-K, 10-Q, 8-K, and proxy statements
- Draft and manage Section 16 filings (Forms 3, 4, 5)
- Provide corporate governance advice, including drafting board resolutions and policies
- Experience with broker-dealers, FINRA, investment advisors, or fund formation is a plus
Qualifications
- 6+ years of experience in securities law
- Expertise in public company regulations and securities offerings
- Bar admission in the relevant jurisdiction (Boston, NYC, Philadelphia, or Washington, DC)
