About the Job
A prestigious private equity firm who specializes in investing in the real estate industry is seeking a Paralegal/ Closing Coordinator to be responsible for managing all aspects involved in property acquisitions, property dispositions and loan closings.
Duties and Responsibilities:
- Works closely with Chief Compliance and In-House General Counsel
- Assists CFO with Fund Documentation
- Works with Accounting on entity filings, entity terminations, obtaining EIN and other fund matters.
- Responsible for the preparation and/or review of Acquisitions Purchase and Sales Contracts
- Preparation of legal documents as required by In-House Legal Counsel
- Preparation of Purchase and Sales Contract Critical Date Charts
- Preparation of formation of entities including: (i) filing formation documents with appropriate Secretary of State, (ii) preparation of the operating agreements and (iii) obtaining EINs.
- Schedule and coordinate closings with title companies
- Responsible for Title and Survey Review for all transactions
- Review related closing documents (partnership, loan, title, and conveyance documents) to ensure accuracy and recordability of instruments.
- Communicate with in-house staff, operating partners, title companies, lenders, and brokers on all closing matters.
- Work with Outside Counsel pertaining to the formation of JV partnership documents and other required legal documents.
- Work with Outside Counsel pertaining to real property conveyance, loan closing documents and membership interest purchase agreements.
- Work with Acquisition and Accounting Teams with preparation, review, and finalization of the Settlement Statements
Requirements/Abilities:
- 5+ years of applicable experience
- Working knowledge of Title/Escrow Closing terminology
- Working knowledge of LLC and LP Formations
