POSITION OVERVIEW
This position plays a critical role in supporting the Legal and Risk Management Department by maintaining compliance for entities affiliated with the company. It requires strong organizational and communication skills, attention to detail, and the ability to manage multiple tasks simultaneously. In addition to ensuring entity compliance, this position will provide broad-based support to the Legal and Risk Department on various projects and legal matters.
RESPONSIBILITIES
Entity Compliance
Oversee and manage the preparation, filing, and maintenance of entity records.
Ensure compliance with applicable laws, regulations, and internal policies for affiliated entities.
Track and manage entity renewals, registrations, and required filings (e.g., annual reports, business licenses).
Maintain the entity database and compliance calendar to ensure timely submissions and updates.
Obtain EINs for newly formed entities.
Ensure all legal and regulatory requirements are met, including tax filings, annual reports, and compliance with relevant state and federal laws.
File and maintain beneficial ownership information reports in compliance with the Corporate Transparency Act.
Manage entity registrations and verify data in the entity management system (e.g., HCue) and oversee annual registrations or dissolutions.
Prepare and maintain powers of attorney and assist in obtaining signatures of same.
Legal Department Support
Assist with drafting, reviewing, and organizing contracts, legal correspondence, and other documents.
Conduct legal research and summarize findings for attorneys.
Manage document retention and organization in accordance with company policies.
Update the company’s Form Bank as requested by Legal and Risk Management Department personnel.
Review and submit outside counsel legal bills for the Legal and Risk Management Department.
Cross-Functional Collaboration
Collaborate with finance, operations, and other departments to gather and verify compliance and reporting information.
Provide support during audits, due diligence, or other events.
Serve as a liaison between corporate accounting/tax and legal.
Develop and oversee systems for real estate broker license management and tracking.
Monitor and respond to legal inquiries via the legal ticketing system.
Process Improvement
Develop and maintain compliance checklists, templates, and standard operating procedures for legal processes.
Identify opportunities to streamline workflows and enhance efficiency in entity compliance and other legal operations.
Administer the contract management library and support its strategic development.
Maintain and organize documents within databases and build entity organizational charts and dashboards.
Manage SharePoint sites for legal document storage and retrieval.
External Engagement
Engage with real estate commissions, state comptrollers, local taxing authorities, and secretaries of state.
Ensure compliance with legal and regulatory requirements, including real estate licensing regulations.
Research and analyze state and federal laws and real estate regulations.
Manage communications between management and internal/external stakeholders.
Education: Bachelor’s degree and/or paralegal certificate from an ABA-approved program. High school diploma/GED will be accepted with appropriate experience.
Experience: Minimum of 5 years as a paralegal, legal assistant, or entity manager, preferably in a corporate or in-house setting.
Skills:
Strong knowledge of corporate governance and compliance requirements.
Excellent organizational and time-management skills.
Proficiency in legal research tools and corporate management software.
Exceptional written and verbal communication skills.
Ability to work independently and collaboratively in a fast-paced environment.
Preferred Qualifications
Experience managing multiple legal entities across different jurisdictions.
Familiarity with contract management systems and document automation tools, particularly CT Corp’s HCue entity management system.
