Overview:Under general direction from the Sr Paralegal, the Paralegal I will work closely with attorneys, dental professionals, operations leaders and administrative support staff to provide legal, administrative and related support integral to the organization's operations. The individual will serve as a subject matter expert for equity transactions, employment agreements, promissory notes and/or corporate filings.
Responsibilities
- Prepare, manage and facilitate legal/transactional documents and agreements for attorney review and approval by identifying forms and formats, producing text and proofreading.
- Provide information and support to the field for dentists, specialty dentists and registered dental hygienists.
- Prepare and file UCC financing statement, amendments, and terminations. Maintain accurate and up-to-date records of all UCC filings.
- Draft and review legal documents related to regulatory compliance with various government agencies.
- Manage organization of files and documents, includes coordinating with executives, operations partners, field personnel, dental practice owners, compiling supporting documentation/records, tracking and expediting transaction completion.
- Perform research as assigned by attorneys or management.
- Act as a liaison with the organization's management, other internal clients and outside counsel.
- Other duties as assigned by management.
Required
- Bachelor’s Degree from an accredited college in the related field, paralegal certificate from an ABA accredited program. In lieu of degree, 5+ years’ of experience is required or the equivalent combination of education and experience.
- +4 years’ legal and transactional experience in a large corporate setting or law firm.
- Experience in drafting corporate legal instruments, filing documents with state and federal agencies, and handling licensing and maintenance of entities.
- Basic understanding of or familiarity with corporate entities and partnership terminology and structure.
Preferred
- Familiarity with Salesforce, Box, DocuSign CLM, or other contract lifecycle management tool.

- Strong data/internet research and written and verbal communication skills. High energy and enthusiasm; ability to take initiative and make suggestions or volunteer ideas for improving overall department or individual productivity.
