Paralegal - Corporate Governance and IP (Primarily Remote)

Responsibilities:Reporting to the Manager, Sr. Corporate Paralegal – Corporate Governance and IP, the primary duties and responsibilities of this position include:
- Drafting and revising corporate governance documents, such as articles of incorporation, bylaws, operating agreements, minutes, resolutions, and other documents to support the formation, maintenance, and dissolution of business entities.
- Maintaining entity and matter management databases.
- Preparing organizational charts and reports.
- Organizing and maintaining corporate records to ensure accuracy and completeness.
- Supporting the management of state service mark filings and other IP processes.
- Assisting with the preparation and maintenance of various corporate and regulatory filings.
- Conducting legal research on corporate governance matters, intellectual property laws, and regulatory requirements.
- Responding to inquiries related to corporate data or historical information.
- Conducting due diligence and providing support for corporate transactions.
- Identifying and implementing improvements to current workflows.
Minimum Requirements:
- Associate’s degree with 2+ years of corporate and/or IP paralegal experience OR 4+ years’ experience in a corporate legal department, law firm, or related field.
- Working knowledge of corporate governance principles, company subsidiary structures, and IP practices.
- Practical knowledge of legal concepts.
- Strong computer skills, including proficiency in Microsoft 365 business applications (Outlook, Word, PowerPoint, Excel).
- Strong organizational skills, accuracy, and attention to detail.
- Ability to maintain proprietary, trade secret, and confidential information.
- Excellent verbal and written communication skills, along with a high level of maturity, personal initiative, and sound judgment.
- Ability to thrive in a fast-paced, deadline-driven environment with a strong focus on collaboration.
- Some travel may be required for onboarding, training, team offsites, company events, etc.
- Access to adequate internet service and a confidential/private/dedicated workspace for remote work.
Desired Requirement:
- This position is eligible for remote work; however, preference will be given to candidates who can work a hybrid schedule. This involves working onsite twice a month at either the Effingham, IL, or St. Louis, MO, support office.
