Responsibilities:
- Lead the planning, negotiation, and execution of M&A transactions, working closely with clients and other stakeholders to ensure successful outcomes.
- Conduct comprehensive financial due diligence for potential acquisitions, identifying any potential risks or issues and providing expert advice on how to mitigate these.
- Draft, review, and negotiate a wide range of legal documents related to M&A transactions, including purchase agreements, merger agreements, and shareholder agreements.
- Provide strategic advice to clients on all aspects of M&A transactions, including deal structure, tax considerations, and post-merger integration.
Job Details
- Juris Doctor (JD) degree from an accredited law school.
- Active Pennsylvania Bar Admission.
- A minimum of 6 years of experience in M&A law, preferably within the finance industry.
- Proven experience conducting financial due diligence for M&A transactions.
- Strong negotiation skills, with the ability to represent clients effectively in high-stakes negotiations.
- Excellent legal drafting skills, with a keen attention to detail.
