Position Overview:
We are seeking an experienced and dynamic Lead Attorney with 8-10 years of specialized experience in mergers and acquisitions (M&A) to join our esteemed practice group. The ideal candidate will possess deep expertise in handling seller-side M&A transactions and will play a pivotal role in leading complex deals, mentoring junior attorneys, and contributing to the growth of our practice. This role requires exceptional leadership, analytical, and client-facing skills, combined with a passion for delivering results in a fast-paced environment.
Key Responsibilities:
Lead Seller-Side Transactions: Manage all aspects of M&A deals, including structuring, negotiating, and executing seller-side transactions across diverse industries.
Client Relationship Management: Serve as the primary point of contact for clients, ensuring their interests are effectively represented and providing strategic counsel throughout the transaction lifecycle.
Drafting and Negotiation: Oversee and draft key transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements, while negotiating terms with opposing counsel.
Team Leadership and Mentorship: Guide and mentor junior attorneys and support staff, fostering professional growth and ensuring high-quality work product.
Due Diligence Oversight: Direct and manage due diligence processes, including risk assessment and issue resolution, to safeguard client interests.
Strategic Advice: Advise clients on legal, financial, and strategic considerations related to M&A transactions, including tax implications and regulatory compliance.
Collaboration and Coordination: Work closely with cross-disciplinary teams, including tax advisors, financial consultants, and other legal specialists, to achieve optimal outcomes for clients.
Business Development: Participate in business development initiatives, including networking, client pitches, and thought leadership activities, to enhance the firm’s profile in the M&A space.
Qualifications:
Juris Doctor (JD) from an accredited law school and active membership in good standing with the state bar.
8-10 years of progressive legal experience with a focus on M&A transactions, particularly on the seller side.
Proven track record of leading complex M&A deals from inception to closing.
Exceptional drafting, negotiation, and analytical skills.
Strong leadership abilities with a commitment to mentoring and developing junior team members.
Excellent communication and interpersonal skills, with the ability to build and maintain client relationships.
High level of integrity, professionalism, and attention to detail.
Ability to manage multiple priorities and work effectively under tight deadlines.
Preferred Qualifications:
Experience with private equity transactions and closely held businesses.
Familiarity with industry-specific M&A practices in sectors such as technology, healthcare, or manufacturing.
