Position Purpose
TAIT is seeking a highly motivated, self-starting attorney to join our dynamic and growing legal team as Counsel, Commercial Transactions. Reporting to the VP, Commercial Transactions, this role has responsibility for negotiating and drafting complex commercial agreements for TAIT’s North America operations, including contracts relating to event touring, production management and product design and manufacturing. The Counsel, Commercial Transactions will translate commercial deals into executable contracts in partnership with business stakeholders, negotiate legal terms across from counsel for TAIT’s clients and vendors, collaborate closely with TAIT attorneys and paralegals on executing company-wide legal strategy and, as necessary, coordinate work performed by outside counsel. This role will be based at TAIT’s global headquarters in Lititz, Pennsylvania.
Essential Responsibilities/Accountabilities
- Negotiate, draft and administer complex commercial contracts and ensure each contract executed by the Company is reviewed for significant legal, risk mitigation and business issues in a timely manner.
- Coordinate with paralegals to implement and maintain newly developed streamlined matter intake process used across the company to prioritize incoming matters and ensure timely response to business needs.
- Analyze complex legal issues and deliver clear recommendations to the VP, Commercial Transactions and, as needed, to the Chief Compliance Officer, Chief Legal Officer and to business stakeholders directly.
- Execute strategic legal initiatives of the VP, Commercial Transactions, including by administering training across the Company to introduce new contracting protocols and risk mitigation best practices.
- Track legislative activity and case law development in pertinent areas affecting commercial transactions, including contract law, information security and privacy, intellectual property and real estate law.
- Work with UK and EMEA counsel and outside counsel to assist with various legal matters as needed.

Minimum Qualifications
- Education: Qualified lawyer with a degree in law (LLB, JD, or equivalent) and licensed to practice in the relevant jurisdiction.
- Experience: 4+ years postgraduate legal work experience in general corporate, commercial contracting, licensing and/or technology transactions, with at least 2 years in the transactional practice of a top-tier law firm.
- Extensive experience in drafting and negotiating contracts from conception to execution, with advanced ability to recognize issues and apply innovative legal solutions to overcome potential dealmaking impasses.
- Excellent organizational and time management skills, with ability to prioritize a high volume of assignments under tight timelines and to balance near-term operational needs against long-term strategic initiatives.
- Exceptional written and verbal communication skills, with the ability to convey complex legal concepts in a clear, concise and tactful manner.
- Exceptional professional interpersonal skills, with the ability to inspire confidence from legal and business colleagues while acting with humility and grace under pressure in order to sustain a collegial atmosphere.
- Sound business judgment, with the ability to recognize when to seek input and direction, but also with a willingness to act autonomously on high-stakes matters as timing and context requires.
- Highly detail-oriented, but with an ability to gauge materiality and purposefully marshal attention and resources in accordance with the relative importance of issues to overarching legal and business goals.
- Team player comfortable operating in an environment with a customer service focus, with a willingness to step up and step into roles outside of day-to-day responsibilities as needed to meet variable business needs.
- Naturally curious and eager to learn about the live experiences marketplace, with enthusiasm for approaching lawyering in partnership with, and not merely in service to, business stakeholders.

Preferred Qualifications
- In-house experience in the entertainment, live events or client services industries helpful, but not required.
Travel
This position may require occasional travel to meet with stakeholders, vendors, or clients, both domestically and internationally.
