What We're Looking For:
We are seeking a Legal Manager who is primarily responsible for coordinating, implementing and monitoring the Agency's contract life cycle. The Manager will serve as the primary point of contact regarding Agency's contractual matters to ensure that contracts comply with Agency's policies and funder requirements. The Manager will be responsible for maintaining a database to track contract status and renewal periods. This position will also assist the Agency's Chief Compliance Officer/General Counsel with legal research, training, and developing policies, procedures and systems to mitigate legal risks.
Key Responsibilities
- Draft, review and negotiate (if applicable) a wide variety of contractual-related documents including, but not limited to funding contracts, grants, vendor contracts, subcontracts, leases, releases, MOUs, programmatic agreements, work orders, amendments, and termination notices.
- Establish and maintain a contract management system to regulate the contract process workflow.
- Provide training to staff on Agency's contract-related policies and procedures.
- Serve as the primary point of contact for internal and external stakeholders on contractual matters.
- Maintain records for correspondence and documentation in relation to pending and executed contacts.
- Collaborate as necessary with internal stakeholders regarding Agency's procurement process
- Assist with insurance related tasks including applications and requests for COIs.
- Assist with corporate filings, subpoenas and record retention monitoring as requested by Supervisor.
- Works on special projects as assigned.
Experience, Knowledge, Skills and Abilities
- Must have a minimum of 5 years of experience in contract drafting with 2 years of that experience working in a corporate contracts or legal department.
- One year of supervisorial experience is required.
- Bachelor's degree from an accredited college or university required. A graduate degree in law, business administration, public administration, or a related field is preferred.
- California bar admittee is a plus.
- Knowledge of contract law principles required.
- Knowledge of contract management systems or software preferred.
- Ability to prioritize workflow and adjust to changing deadlines.
- Exhibit high attention to detail.
- Ability to work independently and manage projects until completion.
- Must have strong problem-solving skills with the ability to escalate critical issues timely.
- Ability to maintain confidentiality, objectivity and impartiality.
- Must have strong interpersonal skills with the ability to communicate with tact and confidence.
