Cygna Labs is seeking a talented and motivated In-house Counsel. This role provides legal support by focusing primarily on contract review, negotiation, and management. You will be the go-to resource for ensuring the company enters into agreements that are commercially sound and minimize legal risks.
This role is on-site in our Miami Beach office.

Qualifications:
- Lead the review and analysis of various software-related contracts, including, Non-Disclosure Agreements (NDAs), Software Licenses (customer, vendor), Service Agreements (development, maintenance), Terms of Service (user agreements)
- Experience providing practical, commercial advice to sales executives and internal stakeholders on a variety of sales and support-related legal issues
- Identify potential legal risks within contracts and propose solutions to mitigate those risks.
- Ensure contracts comply with all applicable laws and regulations.
- Maintain a centralized system for tracking, storing, and managing all contracts throughout their lifecycle.
- Work closely with business teams to understand their needs and tailor contracts accordingly.
- Provide internal training on contract basics and best practices for non-legal personnel who encounter contracts in their daily work.
- Keep up-to-date on legal developments impacting software contracts and advise on how these changes might affect the company.
- Manage outside legal counsel relationships effectively.
Qualifications:
- Minimum of 5 years of experience in contract review, negotiation, and management in a technology-related field (or relevant industry).
- Experience with Enterprise contracts
- J.D. degree from an accredited law school.
- Valid law license in the state of Florida (or eligibility to obtain one through the Authorized House Counsel Program).
- In-house experience is preferred at private SaaS/technology companies, preferably in a fast-growth stage company.
- Strong understanding of contract law, intellectual property law, data privacy law, and regulatory compliance.
- Excellent communication, collaboration, and interpersonal skills.
- Ability to work independently and manage multiple tasks effectively.
- Proactive, results-oriented, and with a strong work ethic.
- Experience working in a fast-paced environment.
