Mergers & Acquisitions, including drafting, reviewing and providing counsel and advice on fairness opinions and underlying valuation materials; and overseeing disclosures applicable to the Company in related proxy filings, regulatory filings, and transaction-related documents in concert with the investment banking team and outside counsel. Capital Markets transactions in both private and public markets, including, where required, engaging with issuer and underwriters counsel; reviewing registration statements, offering materials, and related agreements and documents; and engaging with the capital markets team on legal issues relating to the Companys role in the transaction.
