High Profile smaller Asset Management Firm seeks in-house Attorney.
You will be joining a small, tight-knit Legal Department that includes a few senior attorneys who you will work closely with, and who will mentor you.

This is a hybrid onsite role where you will need to work onsite in midtown Manhattan 2 days per week.
In summary, you will be responsible for supporting Legal's day-to-day operations. You will be drafting, reviewing and negotiating various types of financing and transactional agreements supporting the three main business lines (fund finance, trust custody and securities lending as agent, and treasury activities) including master agreements, and vendor service contracts directly supporting the business lines and support functions; performing legal research and analysis and preparing memoranda; and working closely with the General Counsel and inhouse attorneys to manage legal risks and implement process enhancements.
Responsibilities include:
- Review, negotiate, and draft various contracts for the different business lines and support functions including bilateral and syndicated credit agreements for investment funds, vendor services agreements, confidentiality agreements, custody agreements, securities lending agreements as agent (including standard master agreements, ISDAs, tri-party collateral agreements) and related documentation required for such contracts by the business and support areas.
- Draft and review legal correspondence, research memoranda, template texts for standardized agreements, internal policies and procedures and internal presentations on topics as needed.
- Research, analyze, and provide legal and regulatory advice to the Branch business areas and support units such as Compliance, Risk Management, Administration and Planning and IT Groups regarding new business initiatives and regulatory developments as needed. Assist in the regulatory change management, regulatory reporting and regulatory examinations and inquiries response process.
- Assist with corporate governance matters, including the preparation of materials for governance committee meetings and other internal working groups and projects and related agendas, corporate resolutions, minutes and other corporate governance action items and documentation.
- Review subpoenas and litigation filings and assist in related responses and litigation management activities.
Requirements include:
- 5+ years of relevant banking and trust services legal experience either inhouse at a bank/asset manager or at a law firm.
- Experience advising financial institutions on bilateral and syndicated commercial lending transactions with a focus on structured transactions and fund finance desired.
- Excellent communication, technical drafting, research and issue-spotting skills.
- Ability to deliver practical solutions in a demanding high-pressure environment.
- JD degree and admission to the New York Bar.
