Summary
The General Counsel will partner closely with the Board of Directors and Executive Team and be responsible for proactively leading all corporate-governance related activities. This role will act as an advisor to and/or coordinate with external counsel on legal issues involving the organization's regulatory compliance and other matters.

Responsibilities:
- Provide proactive counsel and advice to CEO, senior level executives, the Board of Directors, and the broader functional areas across the company.
- Analyze and assess challenges to develop strategies to navigate and/or shape the external environment and advance company objectives.
- Lead all legal activities: including corporate law, SEC filings and global compliance, capital markets and financial transactions, business partnerships and other strategic collaborations, litigation, contracts, corporate governance, and human resources activities and general legal support of all other business activities.
- Prepare and review SEC filings, including Form 10-Ks, 10-Qs, Form 8-Ks, Section 16 filings, and proxy statements, in collaboration with finance, accounting, tax, human resources, and other cross functional groups.
- Stay up-to-date and keep relevant personnel advised on SEC developments, ISS/Glass Lewis and institutional investor voting policies, and best practices in an evolving regulatory landscape.
- Act as Corporate Secretary in all corporate governance meetings.
- Partner with the Investor Relations on the legal review of investor materials, compliance oversight, and investor engagement activities.
- Coordinating and managing legal entity and global corporate directorship maintenance
- Provide legal support regarding business development transactions, including mergers, acquisitions, divestitures, licensing, and collaborations. This includes support of due diligence, transaction negotiation and drafting, and ongoing post-closing legal support, as needed.
- Manage and monitor the contract process to ensure compliance with the Company's contractual guidelines, customer specifications and Company policy.
- Acts as advisor legal issues involving the organization's global government and regulatory compliance.
- Work with internal stakeholders and business partners to identify key areas of complex legal challenges impacting initiative prioritized by senior leaders.
- Support litigation matters including determining risk associated with defending or prosecuting a lawsuit as well as legal strategy and managing outside counsel.
Qualifications
- JD from accredited law school; MBA or other advanced degree preferred.
- Member of and in good standing with the state bar
- 15+ years of related experience with large, global law firm and/or public life sciences company.
- Deep experience in general global corporate matters, including corporate governance, securities compliance, drafting transactional documents. License agreements, corporate law, M&A, contractual law, regulatory matters, risk management.
- Regularly review, refine, and maintain corporate governance policies and procedures and Board committee charters in accordance with applicable legal requirements and best practices.
- Partner with Investor Relations and/or other key stakeholders on external disclosures, including the review of external communications such as press releases and other public communications.
- Experience in managing M&A process from opportunity assessment through post-closing support.
- Determine key legal priorities, timeline and resourcing needs for strategic initiatives and gain senior leader alignment.
- Ability to work independently while also effectively contributing to and driving cross-functional team execution.
- Strong organizational skills, attention to detail, and ability to manage multiple priorities in a fast-paced environment.
- Strong executive presence with the ability to partner closely with Board of Directors and Corporate Executive Team.
- Possess a good blend of strategic and operational experience with the ability to see the big picture and dive into details.
- Can negotiate skillfully in touch situations with both internal and external groups. Should be both direct and diplomatic.
- Communicates results, outcomes, and information appropriately regarding business needs and potential impact in a timely fashion and can effectively present ideas and get buy-in.
