Role Mission
The General Counsel will oversee all legal aspects of Ataccama’s operations. With a deep knowledge of the company, industry and associated legal, regulatory, and compliance issues, the GC will provide guidance on corporate planning and development, strategic decision-making, and business growth. This role involves providing strategic legal counsel to the Board of Directors, the CEO, the Executive Team, and other senior management. Successful GC candidates must possess strong initiative, as well as excellent management and leadership skills, and strong business acumen, as the work will be varied and dynamic in nature.
Your Challenge- Strategic Legal Counsel: Provide proactive and strategic legal advice to the executive team and business leaders on a wide range of legal matters, including corporate governance, commercial transactions, trademarks and patents, intellectual property, data privacy, employment law, and litigation.
- Contract Management: Oversee the drafting, review, and negotiation of all contracts, including complex commercial contracts, software licensing agreements, partnership agreements, and vendor contracts. Experience with complex licensing and data rights issues with public sector customers and/or customers in the APAC region is an asset.
- Compliance: Ensure that Ataccama complies with applicable state and federal laws and regulations, with a focus on privacy, data use and access, marketing requirements, & IP and trademark law.
- Data Privacy: Advise and assist with the growth and maturation of Ataccama’s compliance efforts, including with GDPR, CCPA, and other relevant data protection regulations.
- Litigation and Dispute Resolution: Manage and oversee litigation and dispute resolution processes, including selecting and overseeing outside counsel and managing legal budgets.
- Intellectual Property: Protect the company’s intellectual property and manage IP-related legal issues.
- Employee Relations: Provide legal guidance on employment related matters, including but not limited to employment offers, terminations, contracts, policies and disputes.
- Mergers & Acquisitions: Lead legal due diligence and provide legal support for mergers, acquisitions, and other strategic transactions.
- Corporate Governance: Advise the Board of Directors on corporate governance matters, including board of directors' meetings and shareholder communications, and ensure compliance with corporate policies and procedures.
- Team Leadership: Build and manage a high-performing legal team, fostering a collaborative and supportive environment. Oversee the design and implementation of legal policies, programs, and practices across departments.
- External Relationships: Develop and maintain strong relationships with external stakeholders, including outside counsel, regulatory agencies, and industry associations.
- Education: Juris Doctor (J.D.) or LLB from an accredited law school.
- Experience: 10+ years of relevant legal experience, with a strong background in the SaaS industry. Experience in a high-growth environment is a plus. A combination of firm and in-house experience is preferred.
- Bar Admission: Active membership in good standing in at least one state bar in the U.S.
- Leadership: Proven leadership and management skills with the ability to build and motivate a team.
- Communication: Excellent written and verbal communication skills, with the ability to convey complex legal concepts in a clear and concise manner to both legal and non-legal audiences.
- Strategic Thinking: Strong analytical and problem-solving skills, with the ability to think strategically and provide practical solutions. Strong ability to develop expertise in new or unfamiliar areas of law.
