Assistant Vice President, Tax Underwriter

Ethos Specialty is a leading Managing General Underwriter (MGU) that develops industry-specific insurance programs and provides specialized underwriting services on behalf of high-quality carrier and syndicate partners. Ethos has developed, and is the underwriting manager for, Transactional Liability insurance, including Representations & Warranties (RWI) and Tax insurance products.

ESSENTIAL FUNCTIONS AND BASIC DUTIES:
The Assistant Vice President, Tax Underwriter will be responsible for underwriting tax risks and providing tax insurance solutions. Among other things, the Underwriter will:
- Review and understand transaction agreements, tax memoranda and/or opinions and other documentation relevant to the analysis and assessment of tax risks.
- Analyze and assess the underlying risk in accordance with the tax product line policies and procedures.
- Prepare and negotiate non-binding indication letters, insurance policies and binder agreements.
- Interact with clients, clients' advisors, brokers and other deal professionals.
- Participate on underwriting conference calls.
- Manage the tax underwriting process, including the selection of and work performed by outside counsel.
- Present preliminary findings and conclusions to senior underwriters and/or management.
EXPERIENCE AND SKILLS REQUIRED:
- Strong written and oral communication skills; proficient in drafting of legal and commercial documents;
- Ability to negotiate with commercially and legally sophisticated advisors and clients;
- Strong interpersonal skills and ability to collaboratively work on a global basis;
- Ability to multitask, and to be decisive on technical underwriting points against a backdrop of tax risk assessment;
- Entrepreneurial mindset and independent worker; and
- Strong negotiating skills.
- Technical skills & knowledge
- Detailed understanding of complex corporate tax structuring and tax credit arrangements, with a focus on the US federal income tax aspects of M&A and partnership transactions, including domestic and cross-border transactions;
- Ability to analyze a broad variety of tax issues for various types of taxpayers, including corporations, partnerships and individuals; and
- Knowledge of and ability to comprehend financial statements, appraisals, tax memoranda and opinions, tax diligence reports and other relevant legal documents;
- Experience:
- Minimum of 3-5 years of tax experience in a law firm, public accounting firm or other relevant business;
- Specific experience in tax advisory and due diligence a strong plus;
- No previous insurance or underwriting experience required; and
- Proficient in Microsoft Office Suite (Excel, Word, Outlook, PowerPoint).
ESTIMATED TRAVEL PERCENTAGE: 10 – 15%
LOCATION: New York City metropolitan area, but other locations will be considered
