About the Job
The primary purpose of the position is to provide contracts and legal support to a variety of business units throughout the Company. In this capacity, the Counsel will, among other functions, review requests for proposal from State and local government clients to determine corporate risk and assist with bidding strategy decisions; review and negotiate contracts and other transactional documents, including prime contracts, amendments, change orders, license and software maintenance agreements, subcontracts, teaming agreements, nondisclosure agreements and vendor agreements; draft contractual language; prepare executive-level briefings; attend standing meetings for supported business units; ensure compliance with all Company processes and procedures for contract approval/execution; ensure compliance with Company policy on acceptable contract terms and conditions; and draft legal correspondences. Assist with projects and other assignments as requested.
Essential Duties and Responsibilities:
- Manage the policies, and ensure compliance with FAR, DFARS, and other regulations and company directives.
- Oversee review of proposals and contract actions processed for the company prior to signature or negotiation, and ensure that all factors have been considered
- Implement contract policies, procedures, and other business, contractual and compliance matters
- Manage and direct subcontract completions and close-out process.
- Oversee, manage, and provide guidance and direction to direct reports by reviewing all change notices and amendments to major contracts and ensure proper risk evaluation and mitigation.
- Oversee and monitor negotiation of contractual agreements on terms and conditions that are in the best interest of the company and its client.
- Review and analyze Requests for Proposal to determine corporate risk
- Review and negotiate prime contracts, amendments, change orders, subcontracts, teaming agreements, nondisclosure agreements and vendor agreements
- Oversee the review of proposals and contract actions processed for the company prior to signature or negotiation, and ensure all factors have been considered and all necessary information has been gathered, and that relevant parties have been advised of risks.
- Work collaboratively on a cross-departmental basis with privacy, compliance, finance, insurance, business, etc
- Prepare and conduct executive-level briefings
- Represent contracts function at meetings with leadership and staff of supported business units
- Ensure compliance with all company processes and procedures for contract approval/execution
- Ensure compliance with company policy on acceptable contract terms and conditions
- Prepare legal correspondence
- Implement contract policies, procedures, and other business and contractual or compliance matters affecting business units.
- Manage and direct subcontract completions and close-out process
- Follow processes and operational policies in selecting methods and techniques for obtaining solutions.
- Often must lead a cooperative effort among members of a project team.
- Receive assignments in the form of objectives and determines how to use resources to meet schedules and goals.
- Recommend changes to policies and establishes procedures that affect immediate organization(s).
- Other responsibilities as may be assigned by direct manager, General Counsel, Deputy General Counsel and/or Assistant General Counsel
Minimum Requirements
- JD from an accredited law school and admission to one or more State Bars is required.
- 7-10 years of experience
Additional Minimum Requirements:
- Current U.S. State Bar Membership (in good standing) and Virginia Corporate Counsel Certificate (or ability to obtain Certificate within 6 months)
- Minimum of 3 years of experience in related field with at least 2 years' experience in contract negotiation.
- Experience leading complex contract negotiations from inception through conclusion.
- Experience contracting with State and/or Federal government entities, preferably for service-related agreements.
- Exceptional verbal and writing skills
- Excellent negotiation skills
- Attention to detail
- Ability to manage many tasks at once with competing priorities.
- Ability to easily and effectively communicate with business and legal professionals, including C-Suite level executives.
- Works well with colleagues/builds positive working relationships
- Familiarity with intellectual property principles and IT systems contracts a plus
- Experience with issues of diverse scope where analysis of situation or data requires evaluation of a variety of factors, including an understanding of current business trends.
- Proficiency with Microsoft Word, Excel, and Power Point. Experience with a CLM a plus.
- Experience with AI a plus.

Pay Transparency
Maximus compensation is based on various factors including but not limited to job location, a candidate's education, training, experience, expected quality and quantity of work, required travel (if any), external market and internal value analysis including seniority and merit systems, as well as internal pay alignment. Annual salary is just one component of Maximus's total compensation package. Other rewards may include short- and long-term incentives as well as program-specific awards. Compensation ranges may differ based on contract value but will be commensurate with job duties and relevant work experience.
