We are seeking a highly qualified and motivated Corporate Transactions Counsel to join one of our prestigious clients. In this position, you will:

• Draft, review, and negotiate transactional documents related to mergers and acquisitions, joint ventures, and other complex commercial transactions.
• Provide strategic counsel on corporate transactions, including due diligence, structuring, and regulatory compliance.
• Collaborate directly with clients to develop tailored legal solutions and provide guidance throughout the transaction process.
• Work closely with a dynamic team of attorneys to support and grow the national corporate M&A practice.

Ideal Candidate

The ideal candidate for this Corporate Transactions Counsel role is a highly skilled attorney with a deep understanding of corporate law and business transactions.

Key attributes of the ideal candidate include:

• Experience: At least 5+ years of experience in mergers and acquisitions, joint ventures, and other complex commercial transactions.
• Credentials: Juris Doctor (JD) degree from an accredited law school and active Pennsylvania Bar membership in good standing.
• Transactional Expertise: Proficiency in drafting and negotiating key agreements, including purchase agreements, joint venture contracts, and related transactional documents.
• Analytical Thinking: Ability to navigate complex legal subject matter, perform thorough due diligence, and develop innovative legal strategies.
• Strong Communication: Exceptional research, writing, and oral communication skills to articulate complex legal concepts effectively.
• Leadership and Collaboration: Ability to work effectively in a collaborative, team-oriented environment and contribute to client-facing initiatives.
• Client Service: Demonstrated ability to build and maintain strong client relationships with a focus on responsiveness, professionalism, and strategic problem-solving.
