Are you looking to elevate your legal career to the next level? We are currently seeking a dynamic and experienced Corporate Paralegal to join our vibrant team. This is a permanent full-time position that offers the opportunity to work in a fast-paced, high-energy environment. Our ideal candidate is a seasoned professional with a strong background in due diligence and closing transactions. The successful applicant will have the opportunity to work closely with our legal team, providing key support in corporate legal matters.
Responsibilities:
As a Corporate Paralegal, you will be expected to perform a variety of tasks including but not limited to:
1. Assisting with the preparation and completion of necessary legal documentation related to corporate M&A transactions.
2. Conducting thorough due diligence reviews in preparation for significant business transactions.
3. Coordinating and facilitating the closing of transactions, including preparation of closing binders and necessary follow-up.
4. Assisting in the preparation of corporate documents such as bylaws, articles of incorporation, and resolutions.
5. Maintaining corporate records and assisting with annual reporting requirements.
6. Providing support for compliance and regulatory matters.
7. Collaborating with attorneys and other members of the legal team on various projects.
8. Researching and staying up-to-date on legal and regulatory changes that may impact the company.
Qualifications:
To be considered for this role, you must possess the following qualifications:
1. A minimum of 5 years of experience as a Corporate Paralegal or similar role in the legal industry.
2. Bachelor's degree in Paralegal Studies, Law, or a related field is preferred. A paralegal certificate is highly desirable.
3. Proven experience in conducting due diligence and closing transactions.
4. Excellent understanding of corporate law and legal procedures.
5. Exceptional attention to detail and the ability to work efficiently under tight deadlines.
6. Strong communication skills, both written and verbal.
7. Proficiency in legal research tools and corporate filing procedures.
8. Ability to maintain confidentiality and handle sensitive information with discretion.
9. Strong organizational skills with the ability to manage multiple tasks simultaneously.
