Our client, a top law firm in Century City is seeking a Corporate Paralegal to support the Corporate Department.
Job Title: Corporate Paralegal
Salary Range: $80,000 - 95,000 + discretionary bonus
Location
- Century City, hybrid (4x,1x)

- 9:00 am - 5:00 pm
Paralegal Position Overview
The Paralegal will provide comprehensive support throughout all phases of various transactions across key practice areas, working under the guidance and supervision of seasoned attorneys.
Key Responsibilities
- Assist attorneys in preparing legal documents, including drafting side letters, conducting due diligence reviews, reviewing and tracking subscription documents and investor questionnaires, filing documents with the SEC, and managing document distribution during multiple closings.
- Complete and process forms related to the formation, dissolution, amendment, and qualification of corporations, LLCs, and partnerships.
- Organize and maintain both electronic and physical files, including due diligence and subscription documentation.
- Conduct due diligence searches such as UCC and entity status searches.
- Utilize and manage electronic databases for document tracking and organization.
- Proofread, organize, and track transaction-related documents; compile and distribute closing sets; and manage post-closing documentation.
- Gather, coordinate, and manage document logistics and related information.
- Ensure well-organized and accessible file management systems.
- Update document management platforms and categorize documents for efficient access.
- Act as a liaison with internal teams and external vendors.
- Perform other duties as assigned by the deal or fund teams.
- Adapt working hours to accommodate department needs when necessary.
Education Requirements
Required: Associate degree.
Preferred: California Paralegal Certificate.
Skills and Experience
- 3-5+ years of paralegal experience.
- Exceptional attention to detail and strong organizational and communication skills.
- Ability to thrive in a fast-paced environment, working both independently and collaboratively.
- Strong time management and prioritization skills with the flexibility to meet shifting deadlines.
- Critical thinking and problem-solving abilities with a solution-oriented mindset.
- Proficiency in presenting information clearly and concisely in both verbal and written formats.
- Self-motivated with the ability to manage and execute multiple tasks simultaneously.
- Strong proofreading skills for grammar, spelling, and contextual accuracy.
- Willingness to work extended hours, weekends, and holidays as needed, and to travel occasionally.
Preferred:
- Proficiency in MS Office applications, including Excel.
- Experience in an Am Law 100/200 law firm environment.
