Job Details
Responsibilities:
The Corporate Paralegal will contribute to maintaining corporate governance, compliance, and legal operations:
Prepare corporate documentation such as written consents, resolutions, certifications, and minutes.
Manage the database for all subsidiaries and affiliates.
Draft jurisdictional certificates of authority and withdrawal.
Oversee corporate agents.
Handle notarizations, apostilles, document legalization, certified copies, and corporate filings.
Assist in financing projects, including data room management and due diligence coordination.
Support closing processes and special projects.
Review and manage a variety of contracts.
Assist with other projects as required.

Minimum of 5 years of corporate document and contract experience.
Transactional experience is a plus.

Active listening skills.
Position based in DFW; requires 3 days per week in-office presence at present.
