About the Job
We’re looking for a motivated Corporate Paralegal to support our client in various corporate transactions, document drafting, and compliance efforts. Working directly with experienced attorneys.
Core Responsibilities
Entity Formation & Compliance
- Establish entities (corporations, LLCs) and manage updates like amendments and dissolutions.
- Handle compliance tasks, including annual filings with government offices.
- Prepare foundational corporate documents (e.g., resolutions, bylaws, operating agreements) and EIN applications.
Document Drafting & Review
- Draft and review documents for real estate, asset, and stock transactions, including commercial purchase agreements and closing documents.
- Prepare lender documents (term sheets, loan agreements) and handle UCC filings and amendments.
Transaction Coordination & Due Diligence
- Conduct research and assist with transaction due diligence, including title and survey reviews.
- Organize, inventory, and summarize due diligence findings.
- Coordinate document preparation and signatures for closing, and create closing binders post-transaction.
Skills & Qualifications
- Excellent communication and client service skills.
- Organized with the ability to manage multiple tasks independently.
- Bachelor’s degree or relevant experience.
- Minimum three years as a paralegal in a corporate or legal setting.
- Strong proficiency with Microsoft Office Suite and the ability to learn new software quickly.
