Position: Senior Corporate Paralegal
Location: LA
Onsite Logistics: 2/3 Days Onsite (HYBRID)
Hours: 930am – 530pm (35-Hour work week)
Salary: $135,000 - $170,000 with additional OT and Annual Bonus
Aviation Finance Legal Support:
- Assist with the structuring, drafting, and negotiation of aviation finance agreements, including aircraft purchase and lease agreements, security agreements, and other financing documents.
- Conduct research and analysis on aviation finance laws, regulations, and industry trends to support legal decision-making.
- Liaise with clients, banks, and regulatory bodies, ensuring all necessary legal requirements for aviation finance transactions are met.
- Knowledge of aviation finance regulations, including the Chicago Convention, Cape Town Convention, and relevant industry standards.
- Review and prepare documents for filing with aviation authorities (e.g., FAA, EASA) to ensure proper registration of security interests in aircraft.
Paralegal Functions:
- Manage UCC filings related to secured transactions, including preparing UCC-1 financing statements and UCC-3 amendments, ensuring timely and accurate submissions.
- Conduct UCC searches and analyze lien positions and priority interests in assets.
- Assist with loan documentation, including reviewing and organizing closing documents, negotiating terms, and ensuring compliance with applicable laws.
- Prepare and review corporate resolutions, officer certificates, and other ancillary documents required for corporate financing transactions.
Qualifications:
- Bachelor’s degree and equivalent legal or finance-related experience (required).
- Minimum of 10 years of experience as a legal analyst or paralegal, with a focus on aviation finance and complex finance transactions.
- In-depth knowledge of aviation finance transactions, including aircraft leasing, purchase agreements, and security interests.
- Strong understanding of UCC filings, secured transactions, and other general finance-related legal matters.
- Experience in regulatory compliance for aviation-related transactions, including familiarity with FAA and international aviation authorities.
