Job Details
Responsibilities:
1. Provide legal advice on a wide range of corporate matters including mergers and acquisitions, corporate governance, and compliance.
2. Draft, review, and negotiate complex legal documents such as disclosure schedules, asset purchase agreements, operating agreements, and stock purchase agreements.
3. Conduct due diligence investigations and prepare due diligence reports.
4. Advise clients on the legal aspects of business strategies and decisions.
5. Develop and maintain strong relationships with clients.
6. Stay updated on developments in corporate law and contribute to the company's knowledge management.
7. Collaborate with other departments to ensure that the company's legal strategies align with its business objectives.
Qualifications:
1. Juris Doctor (JD) degree from an accredited law school.
2. Admission to the NY state bar.
3. A minimum of 5 years of experience in corporate law, with a focus on mergers and acquisitions.
4. Proven experience in drafting and negotiating disclosure schedules, asset purchase agreements, operating agreements, and stock purchase agreements.
5. Excellent legal research and writing skills.
6. Strong negotiation skills and the ability to resolve complex legal issues.
7. Ability to work independently and as part of a team.
8. Excellent communication skills, both written and verbal.
