Job Details
Responsibilities:
- Providing expert legal advice to the company on a variety of corporate legal issues.
- Drafting, reviewing, and negotiating complex commercial contracts.
- Assisting in the development and implementation of corporate policies and procedures.
- Advising on corporate governance and compliance matters, including potential risks and liabilities.
- Managing corporate transactions, including mergers and acquisitions, and coordinating with external legal counsel as required.
- Representing the company in legal proceedings, if necessary.
- Keeping abreast of changes in laws that affect the company, and providing updates and recommendations to senior management.
- Providing training to the company on legal topics.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- A minimum of 5 years of experience in corporate law, business law, contract law, or a related field.
- Admission to the Minnesota state bar.
- Proven experience as a legal counsel in a business environment.
- Excellent knowledge and understanding of corporate law and procedures.
- High degree of professional ethics, integrity, and gravitas.
- Excellent negotiation, communication, and interpersonal skills.
- Ability to work independently, manage large workloads, and keep deadlines.
- Strong analytical skills and the ability to handle complex legal projects.
- Proficient in Microsoft Office Suite and legal research software.
