We seek a dynamic and experienced Corporate Finance Attorney to join our esteemed legal team. This is a unique opportunity for a seasoned professional to work in a fast-paced environment, providing legal advice on various corporate and financial matters. The ideal candidate will have a proven track record in corporate law, business and finance law, mergers and acquisitions, U.S. securities laws, compliance, disclosure obligations, financing and venture capital, private equity law, and corporate governance litigation.
Responsibilities
As a Corporate Finance Attorney, you will be expected to:
1. Provide legal advice and support on various corporate and financial matters, including mergers and acquisitions, financing and venture capital, and private equity transactions.
2. Draft, review, and negotiate complex corporate and financial agreements and contracts.
3. Ensure compliance with U.S. securities laws, disclosure obligations, and other regulatory requirements.
4. Advise on corporate governance matters and handle corporate governance litigation.
5. Collaborate with other legal team members and other departments to ensure the company's legal and business strategies are achieved.
6. Stay updated on changes in corporate and financial laws and regulations and advise the company accordingly.
7. Manage external counsel and oversee their work in relevant areas.
Qualifications
The successful candidate must possess the following qualifications:
1. Juris Doctor (JD) degree from an accredited law school.
2. Admission to the state bar.
3. A minimum of 2+ years of experience in corporate law, business and finance law, mergers and acquisitions, U.S. securities laws, compliance, disclosure obligations, financing and venture capital, private equity law, and corporate governance litigation.
4. Proven track record of handling complex corporate and financial transactions.
5. Excellent knowledge of U.S. securities laws, compliance, and disclosure obligations.
6. Strong negotiation, drafting, and analytical skills.
7. Ability to manage multiple projects and meet deadlines in a fast-paced environment.
8. Excellent communication and interpersonal skills.
9. Strong ethical and professional standards.
