We are seeking a dynamic and motivated Corporate Finance Attorney to join our growing legal team. The successful candidate will be responsible for handling a wide range of corporate finance matters, including mergers & acquisitions, securities law, compliance, capital markets, venture capital, private equity, and corporate governance matters.
Responsibilities
As a Corporate Finance Attorney, you will be expected to:
- Provide legal advice and support on a wide range of corporate finance matters.
- Draft, review, and negotiate various commercial agreements and contracts.
- Handle mergers and acquisitions, including due diligence, negotiation, and documentation.
- Advise on securities law matters, including compliance with federal and state securities laws.
- Assist with capital market transactions and provide advice on related regulatory compliance issues.
- Provide legal support for venture capital and private equity transactions.
- Advise on corporate governance matters and assist with the development and implementation of corporate policies and procedures.
- Work closely with other departments within the company to ensure legal compliance across all operations.
- Stay updated on current laws, regulations, and industry trends that could impact the company.
Qualifications
The ideal candidate will have:
- A Juris Doctor (J.D.) degree from an accredited law school.
- 1 to 5 years of experience as an Associate Attorney, with a focus on corporate finance.
- Barred in MO and KS.
- Strong knowledge of mergers & acquisitions, securities law, compliance, capital markets, venture capital, private equity, and corporate governance matters.
- Excellent drafting and negotiation skills.
- Strong analytical and problem-solving skills.
- Excellent communication and interpersonal skills.
- Ability to work independently and as part of a team.
- Strong attention to detail and ability to handle multiple tasks simultaneously.
- High level of professionalism and confidentiality.
