About the Role
- This Corporate Development Deal Paralegal supports attorneys and legal teams in handling mergers, acquisitions, joint ventures, and other corporate transactions. They play a crucial role in organizing, managing, and ensuring compliance during the lifecycle of a corporate deal. Please note that this role requires a consistent onsite presence at Scipher’s Waltham office.
Responsibilities
- Transaction Support:
- Assist attorneys with all stages of corporate transactions, including mergers, acquisitions, divestitures, and joint ventures.
- Prepare and organize documents for deal closings, such as closing checklists, signature pages, and transaction binders.
- Conduct due diligence reviews and prepare summaries of findings.
- Manage the execution and distribution of documents for closings.
- Document Management:
- Draft, revise, and review contracts, resolutions, and other transaction-related documents.
- File and retrieve corporate records and transaction documents in document management systems.
- Maintain corporate minute books and other entity records.
- Legal and Regulatory Filings:
- Prepare and file documents with state and federal agencies, such as UCC filings, annual reports, and registrations.
- Coordinate with local counsel to ensure compliance with jurisdictional requirements.
- Communication and Coordination:
- Serve as a point of contact between the legal team, clients, and third parties (e.g., opposing counsel, government agencies).
- Schedule and coordinate meetings, conference calls, and deadlines related to transactions.
- Support the legal team in responding to inquiries and requests for information.
- Research and Analysis:
- Conduct legal and factual research on corporate law issues and jurisdiction-specific requirements.
- Monitor developments in corporate law and regulations affecting transactions.
Qualifications
- Education: Bachelor’s degree and/or paralegal certificate from an ABA-approved program.
Required Skills
- Experience: Minimum of 2–5 years of experience as a corporate paralegal in a law firm or corporate legal department, with a focus on transactional work.
- Skills:
- Excellent organizational and time-management skills.
- Strong attention to detail and ability to manage multiple deadlines.
- Proficiency in legal research tools, Microsoft Office Suite, and document management systems.
- Strong written and verbal communication skills.
Preferred Skills
- Experience with electronic data rooms (e.g., Intralinks, Box, or similar platforms).
- Familiarity with SEC filings and public company reporting requirements.
- Basic knowledge of financial statements and corporate finance.
