The Role: Corporate Counsel (Securities & Transactions) | New York, NY

We are seeking a skilled and driven Corporate Counsel (Securities & Transactions) to join the corporate practice in New York. This role offers the opportunity to work closely with market-leading clients on securities transactions, public offerings, and corporate governance issues.

In This Position, You Will:

• Represent issuers and underwriters/placement agents in capital markets ('33 Act) transactions.
• Advise public companies on '34 Act filings, compliance, and corporate governance matters.
• Draft, review, and negotiate securities offering documents, SEC filings, and shareholder communications.
• Collaborate with clients to ensure seamless compliance with regulatory requirements.
• Provide exceptional legal guidance during IPOs, private placements, and follow-on offerings.

Ideal Candidate Profile

Experience and Expertise

• 3+ years of experience representing issuers and underwriters/placement agents in securities and capital markets transactions.
• Proficiency in '33 Act and '34 Act regulatory matters, filings, and corporate governance.

Educational Credentials

• Juris Doctor (JD) or LLM from an ABA-accredited law school.
• Admission or eligibility for admission to the New York Bar.
