Overview:Under general direction from Senior Corporate Counsel, this position will work closely with attorneys and paralegals in the Legal Department, business partners, operations leaders, healthcare professionals, administrative support staff and with other business functions in the organization, to provide legal and related support integral to the organization's operations.
Responsibilities
- Manage and close transactions (which involve opening different dental and medical offices or entire regions in various jurisdictions) with coordination between operations partners and healthcare partners or high-level business. This will include working with the tax and finance team to structure complex transactions.
- Draft, negotiate, manage and advise business teams with respect to complex services contracts, including software licensing, SaaS agreements, work orders, outsourcing arrangements, strategic alliances, vendor agreements and renewals, non-disclosure agreements, provider agreements, insurance contracts and other commercial agreements.
- Key advisor to the organization’s People Services, Human Resources, Benefits, Recruiting, Marketing, Tax, Procurement and other departments regarding legal, compliance and other issues affecting such departments.
- Provide advice to the organization on regulations related to dentistry and healthcare.
- Work with the operations and marketing teams to review and guide legal compliance for new initiatives and existing practices.
- Manage various legal projects to successful completion. This includes large multiple transaction initiatives and implementation of broad new legal structures for the organization.
- Analyze and guide the organization on regulations related to dentistry and healthcare.
- Perform on-line research and conduct electronic filings on legal and business-related matters.
- Handle confidential information with the highest degree of care.
- Effectively interact and communicate with the organization’s management, including executives, other internal clients and outside counsel.
- Other duties as assigned by management.
Qualifications
- J.D. degree from an ABA accredited law school with bar admission and strong academic record.
- Admitted to the California bar or registered in-house counsel in California.
- 5+ years of combined large law firm and in-house experience in a sophisticated corporate setting.
- Significant experience with corporate and transactional matters, corporate governance and commercial transactions, including with drafting and reviewing agreements and making filings with state and federal agencies.
- Exceptional organizational skills with an ability to manage multiple projects and meet deadlines while providing high-quality work product.
- Proficient computer skills in a Microsoft Windows environment (Word, Excel, PowerPoint, etc.) and in overall database management and record keeping. Familiarity with Salesforce, Smartsheet, DocuSign CLM or other similar contract lifecycle management system is a plus.

- Effective prioritization skills and time efficiency to develop realistic action plans.
- Ability to establish rapport with employees and team members to create trusting relationships both within the organization and in government/regulatory agencies.
- Display judgment by willingness to make timely and accurate recommendations based on available information. Must have the ability to exercise considerable judgment and discretion. Evidence of the practice of a high level of confidentiality.
- Ability to prepare comprehensive reports and represent ideas clearly and concisely, both orally and in writing.
- Ability and willingness to work in person in Irvine, CA.

Salary Information:$169,000.00-$227,000.00 / Annually
