About the Job
A leading company is seeking an experienced Corporate Counsel, Director to join their legal team. The individual in this role will be responsible for managing corporate governance, SEC compliance, M&A transactions, and debt financing. This high-impact position involves working closely with senior executives, board members, and cross-functional teams to guide legal efforts on critical corporate projects.
Key Responsibilities:
Advise senior leadership on SEC regulatory requirements, corporate governance matters, and compliance initiatives.
Lead corporate regulatory compliance, including SEC reporting and filings, ensuring adherence to all disclosure obligations.
Provide legal guidance and support on mergers and acquisitions (M&A), business development, and financing efforts, including credit facilities.
Oversee the corporate secretary function, advising on board matters and assisting with the preparation for board and committee meetings.
Collaborate with internal departments such as finance and investor relations to ensure comprehensive legal oversight.
Implement risk management strategies and develop corporate policies related to securities compliance.
Preferred Qualifications:
At least 5 years of experience with corporate and securities legal work, specifically with public companies.
Strong knowledge of SEC disclosure obligations and related internal processes.
Experience with debt financing and M&A transactions.
Proven ability to work with senior management and functional teams under tight deadlines.
Background in technology, network, or cybersecurity companies is a plus.
Excellent communication, analytical, and negotiation skills.
Strong attention to detail and the ability to manage multiple projects effectively.
This is a full-time, permanent position located in Westford, MA. Competitive compensation package offered, commensurate with experience.
