About the Job
Our Client, an industry-leading food manufacturer and distributor, is looking to hire a Corporate Counsel to lead and support various legal matters within the rapidly growing organization. This person will report directly to the General Counsel, and have the opportunity to work closely with C-Suite executives as a key advisor. Additionally, the Corporate Counsel will support the growth of the company from a legal standpoint, promoting professional growth for this person.
Key Responsibilities:
- Drafting & Negotiating: Draft, review, and negotiate a wide range of corporate and commercial contracts, including supply agreements, distribution agreements, NDAs, vendor agreements, and licensing agreements.
- Risk Management: Identify and manage legal risks related to contractual obligations, ensuring that company interests are protected.
- Collaboration: Work closely with cross-functional teams (sales, procurement, operations, finance, etc.) to provide practical legal advice and guidance on business transactions.
- Contract Management: Maintain and manage the contract lifecycle, ensuring compliance with legal and company policies and procedures.
- Legal Support: Provide day-to-day legal support on business operations, regulatory compliance, and risk management, particularly as they relate to contracts and agreements.
- Dispute Resolution: Assist in resolving contractual disputes in coordination with external counsel when necessary.
- Corporate Governance: Provide legal counsel on corporate governance issues, helping ensure that the company remains compliant with applicable laws and regulations.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Active membership in the California State Bar.
- Minimum of 5 years of relevant experience in contract drafting, negotiation, and review.
- Proven ability to manage multiple projects and meet tight deadlines in a fast-paced environment.
- Strong negotiation, communication, and interpersonal skills.
- High attention to detail and ability to identify risks and propose practical solutions.
- Ability to work both independently and as part of a collaborative team.
Preferred Skills:
- Familiarity with industry-specific regulations (e.g., FDA, USDA) related to food manufacturing and distribution.
- Experience working in a hypergrowth or fast-moving corporate environment.
- Strong business acumen and the ability to provide pragmatic legal advice
