The Role:
We are seeking our very first legal hire. This is a greenfield opportunity for the right Corporate Attorney. As a key member of our team, you will report to our Vice President/Head of Finance & Accounting and be responsible for all things legal. You will provide strategic legal guidance and ensure compliance with relevant laws and regulations. Your expertise will be instrumental in shaping Nift's legal landscape and supporting our growth trajectory.
What you will do:
- Drafting and Reviewing Contracts: Prepare, review, and negotiate a wide variety of corporate contracts, including partnership and customer contracts, vendor agreements, NDAs, and, ensuring compliance with company policies and applicable laws.
- Contract Lifecycle Management: Oversee the end-to-end contract lifecycle, from initiation and negotiation to execution, renewal, and termination.
- Contract Risk Assessment: Identify, assess, and mitigate potential risks in contractual terms and conditions, ensuring alignment with organizational objectives and legal requirements.
- Data Privacy: Review existing privacy policy and company procedures and evolve as necessary to stay compliant with applicable laws in jurisdictions where we operate. Collaborate with product and engineering teams to promote privacy by design and implement data protection best practices.
- International Expansion: create the legal roadmap to support our growth into new international markets
- HR: apply understanding of employment laws, including matters in hiring, termination, employment contracts,
- Intellectual Property: apply knowledge of intellectual property laws to protect trademarks, copyrights, and patents. Lead the process for obtaining IP protection in new markets
- Insurance Program: review and manage our comprehensive insurance program, ensuring our policies have appropriate coverage given our business model, size geographies, and contractual obligations
- Corporate Policies and Procedures: Develop, implement, and maintain corporate governance policies, procedures, and best practices in alignment with applicable laws, regulations, and industry standards.
- Outside Counsel: Work with and efficiently manage current outside counsel. As needed from time-to-time, select, engage, and manage additional expert outside counsel
- Corporate Transactions: Provide legal support for any potential financing activities and other corporate transactions
What you need:
- 5+ years experience post-law school
- 2+ years experience as in-house counsel for a consumer-facing technology company, preferably for a venture-backed early stage company, collaborating with sales and product teams
- In-depth experience with drafting and negotiating contracts & agreements
- Expertise in data privacy regulations and cybersecurity laws (GDPR, CCPA)
- Privacy by design experience, CIPP certified information privacy professional a plus
- Knowledge of digital advertising platforms and standards a plus
- Experience in international business expansion
- A Juris Doctor (JD) degree from a reputable accredited law school
- Active bar membership, licensed to practice law in the relevant jurisdiction
- Strong attention to detail, very organized, with ability to appropriately prioritize projects
- Independent, self driven, with good business acumen
- Strong communication skills, articulate, and with the ability to influence others
- Excellent analytical and problem-solving skills
- Ability to stay updated on rapidly evolving technology trends and legal developments
