We are currently seeking a dynamic and highly experienced Corporate Counsel to join our team in the Healthcare sector. This role will provide legal support to our company, focusing primarily on corporate governance, commercial contracts, and contract negotiations. The successful candidate will play a crucial role in strategic decision-making, providing expert legal advice to the management team and board of directors. This is a permanent, full-time position that offers a competitive compensation package.
Responsibilities:
1. Draft, review, and negotiate a wide range of commercial contracts, including purchase agreements, service contracts, and confidentiality agreements.
2. Provide guidance on corporate governance matters and ensure compliance with applicable laws and regulations.
3. Advise on risk management and liability issues.
4. Participate in the definition and development of corporate policies, procedures, and programs.
5. Provide legal support for business transactions, including mergers, acquisitions, and joint ventures.
6. Represent the company in legal proceedings, if necessary.
7. Collaborate with outside counsel as required.
8. Keep informed of industry-specific regulations and ensure that appropriate risk management strategies are in place.
9. Provide training to company and its affiliates on contractual matters.
10. Work closely with other departments to ensure that legal risks have been identified, appropriate courses of action have been taken.
Qualifications:
1. Juris Doctor (JD) degree from an accredited law school.
2. A current license to practice law.
3. Minimum of 5 years of legal experience in corporate governance, commercial contracts, and contract negotiation.
4. Prior experience in the healthcare industry is strongly preferred.
5. Excellent negotiation, communication, and interpersonal skills.
6. Strong analytical and problem-solving skills.
7. Ability to work independently and in a team.
8. Ability to manage multiple tasks, projects, and deadlines simultaneously.
9. High degree of professional ethics, integrity, and gravitas.
10. Excellent judgment and ability to interpret and apply laws, regulations, and policies.
