Job Details
Responsibilities:
- Provide expert legal support and advice to our corporation, advising on legal rights and duties.
- Structure, draft, and review reports and other legal documents, such as contracts, agreements, policies, and corporate bylaws.
- Conduct legal research and analysis of legal problems.
- Interpret laws, rulings, and regulations for the corporation.
- Conduct due diligence in legal matters concerning contracts, agreements, and mergers and acquisitions.
- Advise the corporation on changes in the laws affecting the company.
- Represent the corporation in legal proceedings.
- Develop solutions to complex legal questions.
- Provide advice on corporate governance issues and corporate compliance with the law.
- Negotiate deals and attend company meetings.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- A minimum of 3 years of experience as a Corporate Attorney, with a focus on mergers and acquisitions, corporate governance, and transactional work.
- Must be licensed to practice law in the state.
- Strong understanding of corporate law and legal procedures.
- Excellent negotiation and communication skills.
- Strong analytical ability and problem-solving skills.
- Ability to work independently and as part of a team.
- High degree of professional ethics, integrity, and gravitas.
- Excellent judgement and ability to make sound decisions in a fast-paced environment.
- Must be detail-oriented, with the ability to manage multiple tasks simultaneously.
- Strong interpersonal skills and the ability to build relationships with stakeholders, including staff, board members, and external partners.
- Demonstrated ability to handle confidential information with discretion, be adaptable to various competing demands, and demonstrate the highest level of customer/client service and response.
