Corporate Attorney - Gpac

About the Job
We are seeking a highly motivated, detail-oriented attorney with 0-3 years of experience in corporate transactional law. The successful candidate will assist in drafting, reviewing, and negotiating contracts, conducting due diligence for mergers and acquisitions, and advising clients on various corporate governance and business matters.
Responsibilities:
- Draft, review, and negotiate commercial contracts, including purchase agreements, shareholder agreements, and joint venture agreements.
- Assist in mergers and acquisitions, private equity transactions, and corporate reorganizations.
- Conduct legal research and provide advice on corporate governance and compliance matters.
- Support senior attorneys in transaction-related activities and client communications.
- Prepare legal documents, memoranda, and other correspondence.
- Participate in client meetings and offer practical legal solutions.
- Collaborate with colleagues in various practice areas to deliver comprehensive legal services.
Qualifications:
- J.D. from an accredited law school.
- 0-3 years of experience in corporate transactional law, ideally with exposure to M&A, private equity, or commercial contracts.
- Strong academic record and analytical skills.
- Excellent written and verbal communication skills.
- Ability to work independently and as part of a team in a fast-paced environment.
- Must be licensed to practice law in Missouri (or eligible for admission).
Preferred Skills:
- Experience with M&A transactions and contract negotiations.
- Knowledge of corporate governance, securities regulations, and business law.
- Strong research and drafting skills.
