Contract Specialist is responsible for managing vendor negotiations and supporting the internal stakeholders in formalizing collaborative relationships with our supplier base. S/He will perform the administration, review, and analysis of contracts to ensure compliance with contract specifications and company policies. Responsible for entering contracts into a system and maintaining vendor information.
Responsibilities:- Performs moderately complex activities of administration, review, and analysis of contracts
- Interprets contracts to ensure alignment with company objectives
- Assures that contracts contain all appropriate terms and conditions
- Reviews and analyzes documents to determine contractual obligations
- Works with finance, supply chain and purchasing to determine contract terms and conditions for non-disclosure agreements, supplier agreements, and statement of works
- Ensure that the contracts are secure, readily accessible and updated in the various databases as needed
- Corresponds and communicates across departments regarding the terms of the contract during final review process as necessary
- Assists legal staff in identifying areas for improvement in standard contracts and processes
- May negotiate contracts for software licensing as demand warrants
- Experience with contract laws
- Minimum 4 years of similar experience is required. College degree required and commercial contract certification considered a plus otherwise must seek commercial contract certification
- Good negotiation, time management, communication, decision-making, human relations, and organization skills
- Effective oral and communication skills are required as the supplier base and internally supported departments are very diverse
- With limited supervision, and defined latitude for the exercise of independent judgment performs the administration, review, and analysis of various contract types to ensure compliance with the contract specifications, and iDirect organizational policies
- Requires experience in interpreting and drafting commercial contract language and will negotiate certain contracts as noted above
- Persons in this position will analyze and respond to an array of documents relating to iDirect’s vendor contracts including but not limited to, the following: Master Purchase Agreement, Consulting and Service Agreements, Non-Disclosure Agreement, Statement of Works ; and other similar documents under the supervision of management
- Ability to participate on iDirect cross functional teams both within the Office of General and with the other iDirect departments while maintaining a collaborative environment
- Must have general business skills and an in-depth working knowledge of Salesforce, Microsoft Office Suite programs with a high degree of proficiency in Word, Excel and PowerPoint
- Experience with international vendors is preferred; and ability to attend virtual meetings with vendors in multiple international time zones as needed. Other duties as assigned
