The primary role of the Lending Counsel is to provide legal support for lending activities, particularly in commercial and real estate transactions. Job Details
The primary role of the Lending Counsel is to provide legal support for lending activities, particularly in commercial and real estate transactions. This includes overseeing various lending transactions and potentially assisting with other financial transactions such as mezzanine financing or joint ventures. Additionally, the position may involve addressing a range of legal matters within the corporate environment, including regulatory compliance, risk management, and litigation, as necessary. Reporting to the Legal Counsel (Lending), this remote position offers an annual incentive.
Key Responsibilities
- Handle all legal aspects of loan transactions, from inception to closure and beyond, ensuring compliance with industry standards, internal protocols, and program requirements.
- Support loan officers by addressing legal issues related to proposed transactions, including preparing transaction documents and managing transaction pipelines.
- Conduct thorough due diligence on transactions, including reviewing collateral, organizational structures, and borrower statuses.
- Manage relationships with external parties such as title companies and escrow agents, and provide guidance during the closing process.
- Maintain accurate legal documentation for each transaction, including drafting and organizing loan documents and due diligence materials.
- Supervise external legal counsel as necessary.
Professional Requirements
- Juris Doctor degree and relevant state bar admission, with a minimum of 7 years' experience as a practicing attorney.
- Proven experience negotiating and closing complex commercial real estate finance transactions within tight deadlines.
- Must have experience representing lenders or being lender counsel
- Familiarity with capital markets and securitization is advantageous.
- Strong problem-solving skills, with an ability to exercise sound judgment and common sense.
- Excellent communication, interpersonal, and decision-making abilities, with meticulous attention to detail.
- A collaborative approach to working within cross-functional teams.
- Proficiency in Microsoft Office and Google Suite applications.
