Responsibilities:
The Commercial Attorney is responsible to independently oversee a wide variety of complex legal and commercial matters, including managing complex commercial agreements, privacy and data security, marketing and promotions, design clearance and other intellectual property matters, and also supporting other corporate legal matters.
KEY RESPONSIBILITIES
Negotiate, draft and review a broad range of commercial agreements, including technology services agreements, software license agreements, professional services agreements, master vendor/professional services agreements, talent and freelance services agreements; sponsorship and marketing partnership agreements; and other Company agreements; advise on a range of corporate matters; provide strategic legal guidance to Company on legal risks of various commercial transactions.
Primary responsibility for privacy compliance within the organization, providing legal counsel and support to a wide range of groups across Express in the areas of consumer privacy and data security, including
privacy laws and regulations and industry best practices, such as data protection, data retention, data usage, data security and data breaches; as well as oversight and management of privacy compliance processes such as the California Consumer Privacy Act and other state and federal privacy laws.
Advise the design, marketing, merchandising, sourcing, and production functions on marketing matters, including product claims, disclaimers, labeling, promotions, marketing materials, and sustainability matters.
Conduct IP clearance for apparel and accessory designs, naming, brands and advertising.
May at times manage legal professionals such as outside counsel, paralegals, legal analysts and legal interns.
Responsible for other projects and initiatives as assigned.
REQUIRED EXPERIENCE & QUALIFICATIONS
Education: Juris Doctorate
Years of experience: 5+
License: Licensed to practice law in Ohio
CRITICAL SKILLS & ATTRIBUTES
Strong knowledge of commercial agreements, data privacy and/or intellectual property
Comfortable with and capable of keeping pace in a dynamic growth environment
Ability to work independently and under general supervision
Strong attention to detail and excellent follow up
Excellent communication and analytical skills, both written and oral
