Job Title: Corporate Paralegal - Mergers & Acquisitions
Location: Hybrid (4 days remote per month), Century City, CA
Salary: $130,000 - $145,000 + Parking Reimbursement & Full Benefits
A prestigious law firm is seeking an experienced Corporate Paralegal to handle a wide range of transactional and governance matters, including mergers and acquisitions, private equity, corporate finance, and venture capital financing. This is an excellent opportunity for a skilled professional with 5-10+ years of corporate law experience, particularly in M&A, to join a dynamic team.
Top 3 Qualifications:
- 5-10+ years of corporate law experience, particularly in M&A
- Expertise in entity formations, dissolutions, and maintenance
- Corporate finance and venture capital financing experience preferred
Key Responsibilities:
- Draft and review organizational documents (articles of incorporation, stock certificates, merger agreements)
- Assist with drafting contracts, such as non-compete agreements
- Prepare and file UCC financing statements, corporate reports, and statutory summaries
- Manage due diligence processes and review due diligence documents
- Maintain client minute books and stock ledgers
- File documents with government agencies, including SEC, IRS, and Secretaries of State
- Oversee contract processes, from planning to execution
